Acceptance of Terms

By accessing or using this service, you agree to be bound by these Terms of Service. If you do not agree, please do not use the service.

Who We Are

The service is provided by COD Co., Ltd. (株式会社ＣＯＤ), a company incorporated in Japan ("we", "us"). Our address and other seller details are listed in our Legal Notice (特定商取引法に基づく表記).

Description of Service

SceneOak is an AI video generation service: you describe a shot or upload an image, and third-party AI models render a video clip. We may modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.

User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use or security breach.

Acceptable Use

You agree not to:

• Violate any applicable laws or regulations.
• Infringe on the intellectual property or other rights of any party.
• Attempt to gain unauthorized access to our systems or data.
• Interfere with or disrupt the integrity or performance of the service.
• Use the service to send spam, malware, or other harmful content.
• Upload content you do not have the rights to use.
• Generate sexual content involving minors, depict real people without their consent, or create content meant to deceive, harass or defame others.
• Use the service in breach of the usage policies of the AI model providers that render your clips.

Your Content and Generated Videos

• As between you and us, you own the prompts and images you submit and the videos generated for you. We claim no ownership of them. Whether a generated video is protected by copyright depends on the law where you are, and similar videos may be generated for other users.
• If you are on a paid plan, you may use the videos generated while your plan is active for any lawful purpose, including commercial use, also after the plan ends. Videos generated without a paid plan (for example, with free signup credits only) are for personal, non-commercial use.
• Your use of generated videos is subject to these Terms, including Acceptable Use above, and to the terms of the third-party AI model providers that rendered them. You are responsible for how you use your content.
• You grant us a limited licence to store, process and transmit your content only to provide the service to you — for example, to send your prompt to the model provider and keep the result in your library. We do not use your content to train AI models. See our Privacy Policy.

Payment and Billing

• Prices are listed in US dollars and exclude tax. Applicable taxes (such as Japanese consumption tax, sales tax or GST) are calculated from your location and added at checkout; our pricing page shows customers in Japan prices including tax. Payments are processed by Stripe.
• Subscriptions are billed in advance and renew automatically every month or every year, depending on your plan, until you cancel. You can cancel at any time from Settings › Billing → Cancel subscription after signing in, or by asking our support team to cancel it for you. Cancellation takes effect at the end of the current billing period, with no pro-rated refund for the unused part of the period.
• Buying a different plan ends your current plan immediately, with no refund for its remaining period. Credits already granted stay usable until they expire.
• Credit top-ups require an active subscription. Purchases are not available in every country or region.
• You are responsible for providing accurate billing information.

Credits

• Credits pay for renders on this service. The credit cost of each render is shown before you send it.
• Monthly plans grant their credits every month. Yearly plans grant one twelfth of the year's credits every month: the first month's when you pay, then each later month of the year you paid for, when you first open the service that month. Plan credits are valid until 48 hours after the next month's credits are due (about one month). If you switch from a yearly plan to another plan, the yearly plan's remaining months are still granted until the end of the year you paid for. Top-up credits are valid for 180 days, and free signup credits for 30 days. Credits that expire soonest are used first; expired credits lapse and are not refunded or extended.
• Credits have no cash value, can only be used on this service, and cannot be transferred or exchanged for money.

Refunds and Chargebacks

• Refunds are handled under our Refund Policy. We don't refund subscription fees or credit top-ups because you changed your mind or did not use your credits (if we terminate your account because you violated these Terms, see Termination below). This does not limit your rights when we fail to provide the service as described.
• When a payment is refunded, credits from that purchase are removed as the Refund Policy describes. After a full refund, if the payment was for a subscription, the subscription ends immediately and does not renew.
• If you dispute a payment with your card issuer (a chargeback), or your issuer reports it as possibly fraudulent, the unused credits from that payment are removed. If the payment was for a subscription, the subscription ends immediately. Credits removed this way are not restored automatically. If the dispute is closed in our favour and the payment was not returned to you, contact us and we will restore the removed credits. Restored credits are valid again from the day we restore them, for the validity period of the original purchase. Please contact us before opening a dispute — we can usually sort out billing problems faster.

Intellectual Property

The service and its original content (excluding your content and the videos generated for you), features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

"Kling" is a trademark of Kuaishou Technology. SceneOak is an independent service that accesses Kling models through third-party APIs; it is not affiliated with, endorsed by, or sponsored by Kuaishou or Kling AI. Other model names (MiniMax, Seedance) are trademarks of their respective owners. The model that actually rendered each clip is shown on the result.

Termination

We may suspend or terminate your access to the service at any time if you violate these terms. You may close your account at any time by emailing us or opening a support ticket (see Contact below). A closed account is frozen: you can no longer sign in or use the service, your subscription stops renewing so no further charges are made, and your remaining credits are frozen — they are not refunded and cannot be used while the account is closed. If we reopen the account at your request, frozen credits can be used again until they expire.

If we terminate your account because you violated these Terms, your subscription stops renewing immediately and we do not refund any payment, unused credits or the remaining period of your plan. This does not limit rights you have under laws that cannot be excluded by contract.

Limitation of Liability

If we are liable to you for damage relating to the service and the damage was caused by our slight negligence (that is, not by our intent or gross negligence), our liability is limited to ordinary and direct damage actually incurred, up to the greater of the total amount you paid us in the 12 months before the damage occurred and US$100. This limit does not apply where we act intentionally or with gross negligence, or to death or personal injury. Nothing in these Terms excludes or limits rights you have under consumer protection laws that cannot be excluded by contract.

Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. This does not take away the protection of mandatory consumer laws of the country where you live. The Tokyo District Court has non-exclusive jurisdiction over disputes relating to these Terms or the service; this does not prevent you from bringing a claim in the courts of the country where you live where the law allows it.

Changes to These Terms

We may modify these Terms. Before a change takes effect, we will post the updated Terms and their effective date on this page and, for material changes, notify you through the service or by email.
